SYDNEY - August 6, 2023 - Bain Capital Private Equity ("Bain Capital") has agreed to acquire Australian aged care provider Estia Health Limited (“Estia Health”) for $3.20 per share, as per terms of a Scheme Implementation Agreement. The Directors of Estia Health have unanimously agreed to support Bain Capital’s offer and will recommend shareholders vote in favour of the offer, in the absence of a superior offer.

The agreement will extend Bain Capital’s strategy of investing in Australian businesses to drive positive and lasting impact for companies, employees, and communities.

Globally, Bain Capital has extensive experience in healthcare, with $US14 billion capital deployed and 175+ platform investments in healthcare.

“We are delighted to invest in Australian aged care and expect a long-term presence in the sector. We appreciate the trust families have placed in Estia Health to care for their loved ones," said Mike Murphy, a Partner at Bain Capital Private Equity. "Bain Capital will support management to continue to build on their track record of delivering highly compliant, high quality, and compassionate residential aged care to thousands of Australians. We will build on Estia Health's robust corporate governance and we want management to maintain the highest levels of care and keep the needs of residents central to everything Estia does."

Bain Capital’s investment in Estia Health is subject to a number of approvals, including a vote of Estia Health shareholders, and is not expected to complete for several months.
